What is Conversion under California Law?
Conversion is a civil cause of action that is available when someone exercises unauthorized dominion, control, or ownership over another person’s personal property, depriving the rightful owner of use and possession.
Unlike theft (a criminal offense), conversion is a civil tort, meaning the victim can seek monetary damages in civil court even if no criminal charges are filed.
How to Prove Conversion in California
A plaintiff must generally prove:
1. Ownership or right to possession of the property at the time of the interference;
2. Substantial interference with that right by the defendant’s actions;
3. That such interference was done without consent; and
4. Resulting harm or loss due to the interference.
Common Examples of Conversion in California
Conversion claims arise in many situations, including:
- Wrongful taking of property, such as when a partner takes funds belonging to the company or other partner
- Business and commercial disputes where a party takes or diverts money or property that belongs to another party
- A sale of a business where a party’s interest in the business was sold without that party’s knowledge or consent
Even temporary or short-term interference with property can be considered conversion if the interference is significant and unjustified.
How is Conversion Different than Theft
Conversion is a civil claim, meaning the victim has a right to sue to recover the property.
Terms like “theft” or “embezzlement” are criminal offenses, where the person can be prosecuted for committing a crime.
Because criminal prosecution and civil conversion claims have different standards of proof, it’s possible for a defendant to avoid criminal charges but still be liable for conversion in civil court.
Legal Remedies for Conversion in California
If you prevail in a conversion lawsuit, you may recover:
- Compensatory damages for the fair market value of the property at the time of conversion, plus any consequential losses;
- Interest on sums certain;
- Statutory treble damages;
- Statutory attorney’s fees and costs; and
- Punitive damages to punish intentional wrongdoing.
California courts generally measure damages in conversion cases by the value of the property at the time of the wrongful taking. This means that if someone took or destroyed your property, you can seek the fair market value of those items as of the date of conversion.
Why You Need a California Conversion Attorney
Conversion claims can involve complex facts, documentation of ownership, valuation of lost property, and strategic litigation. Whether you’re dealing with issues involving personal effects, business assets, equipment, vehicles, or digital property, having a skilled conversion attorney means:
- Thorough evaluation of your legal rights and options;
- Accurate calculation of your damages and full economic losses;
- Efficient negotiation with the opposing party; and
- Aggressive representation in court when settlement isn’t possible.

Los Angeles Conversion Attorney FAQs
What are statutory treble damages?
This means a statute permits you to recover three times your actual damages. For example, if the converted property was worth $1 million, then you may be entitled to seek $3 million.
When are statutory treble damages available?
Statutory damages are available against any person who buys or receives any property obtained by theft or extortion, knowing it to be stolen or obtained by theft or extortion.
It is also available against anyone who conceals, sells, withholds, the property, or any person who otherwise helps in concealing, selling, or withholding the property from the owner.
What if they didn’t mean to steal it?
Conversion is a strict liability tort, meaning it does not require that the person acted in bad faith or with ill intent. It only requires showing that the defendant intentionally deprived you of your right of possession without consent.
What is oppressive conduct for the purposes of punitive damages?
Despicable conduct that subjects a person to cruel and unjust hardship in conscious disregard of that person’s rights.
What is fraudulent conduct for the purposes of punitive damages?
An intentional misrepresentation, deceit, or concealment of a material fact known to the person with the intention to deprive another of property or legal rights or otherwise cause injury.
How much in punitive damages will I get?
It depends. There is no legal or mathematical formula. California law defines “punitive damages” as a monetary award “for the sake of example and by way of punishing” the wrongdoer. California law also recognizes that the amount of money to “punish” or “set an example” will differ depending on the financial condition of the wrongdoer. It would take a higher amount, for example, to teach the same lesson to someone who is extremely wealthy. The judge or jury therefore decides on the appropriate amount, taking into account the severity of the conduct and wealth of the wrongdoer.
